Welcome to Finacforce. These Terms of Service ("Terms") govern your access to and use of the website, tools, valuation services, and matching services provided by Finacforce Ltd ("we", "our", or "us") via our online platform (the "Platform").

By using our Platform, searching for a company, or submitting a valuation request, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Platform.

1. Platform Services & Eligibility

Finacforce is a business-to-business platform that helps UK company owners search for, value, and match their limited companies with prospective buyers. To use the Platform, you must satisfy the following:

  • You must be at least 18 years of age.
  • You must be a legally appointed Director, Shareholder, or a fully authorised representative of the company you are searching or submitting.
  • The company must be registered in the United Kingdom (England, Wales, Scotland, or Northern Ireland) as a private limited company (Ltd).

2. Company Search & Data Accuracy

Our company search tool pulls direct records from Companies House API. While we query these official government databases, we do not warrant the accuracy, timeliness, or completeness of Companies House data.

When you submit financial parameters (such as annual turnover, profit margins, asset value, or debt status), you guarantee that the information is true, accurate, and not misleading. Submitting deliberately falsified financial information may result in immediate suspension from our Platform and network.

3. Valuations & Appraisals Disclaimer

All valuation metrics, scores, and reports generated by the Platform or our advisory team are **non-binding estimates** intended solely for informational purposes.

  • They do not constitute a formal, certified business audit or an appraisal.
  • They do not guarantee that a buyer will agree to purchase your company at the valued amount.
  • We make no representations or warranties concerning the eventual sale price of your business or any potential tax implications (e.g., Capital Gains Tax, Business Asset Disposal Relief, or Corporation Tax liabilities). You should consult an independent accountant or legal advisor.

4. Buyer Matching & Negotiation

If you proceed with listing your company for acquisition matching through our network, you agree to the following workflow guidelines:

  • Introductions: We act as an intermediary to facilitate introductions. We do not represent either the buyer or the seller as a legal agent in the final transaction.
  • Due Diligence: It is the buyer's sole responsibility to perform comprehensive due diligence. It is your responsibility to provide accurate verification documents (e.g., bank statements, CT600 tax returns, filing histories) requested during negotiation.
  • Final Transfer: All transfers of shares, director updates, and bank account changes must comply with the UK Companies Act 2006. Finacforce assists in guiding you through the paperwork, but is not party to the final sale contract.

5. Permitted & Prohibited Use

You agree to use the Platform only for lawful purposes related to legitimate company transitions. You must not:

  • Submit companies without the explicit authorization of the company's legal board or majority shareholders.
  • Use the valuation tool or search feature to systematically scrape data or perform competitor espionage.
  • Circumvent introductions or sharing agreements facilitated by Finacforce to avoid agreed terms.
  • Upload files containing malware, viruses, or any harmful code to our submission portal.

6. Intellectual Property

All content on the Platform (including text, graphics, logos, button icons, images, software, database layouts, search algorithms, and brand assets) is the property of Finacforce Ltd or its content suppliers and is protected by United Kingdom and international copyright, trademark, and database right laws.

7. Limitation of Liability

To the maximum extent permitted by UK law, Finacforce Ltd, its directors, employees, or partners shall not be liable for:

  • Any indirect, incidental, special, or consequential damages.
  • Loss of profits, revenue, contracts, business opportunities, goodwill, or anticipated savings.
  • Loss or corruption of data, or business interruption, arising from your use or inability to use the Platform.

Our total liability to you in connection with any services provided through the Platform shall be limited to the fees (if any) paid by you to Finacforce in the 12 months preceding the event giving rise to liability.

8. Indemnification

You agree to indemnify and hold harmless Finacforce Ltd, its affiliates, directors, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your breach of these Terms, misuse of our Platform services, or inaccurate company details submitted.

9. Governing Law & Jurisdiction

These Terms, their subject matter, and their formation are governed by the laws of England and Wales. You and we both agree that the courts of England and Wales will have exclusive jurisdiction over any disputes arising from or relating to the use of this Platform.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make updates, we will post the revised Terms on this page and update the "Effective Date" at the top. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.
